This Affiliate Partner Agreement and Terms of Service (this “Agreement”) is between Open Time Clock (“Company” or “we” or “our”) and you (the “Partner”).

This Agreement outlines the terms and conditions under which we will collaborate to promote and grow Open Time Clock through our Affiliate Partner Program.

By signing up for the Affiliate Program, you agree to comply with these terms. These terms are so important that we cannot allow participation in our Affiliate Program unless you agree to them.

1. Affiliate Program Overview

As an Affiliate Partner, you will have access to promote Open Time Clock software and earn commissions for every sale made through your unique referral link. The more sales you generate, the more commissions you earn, as outlined in this Agreement.

2. Acceptance and Eligibility

We reserve the right to review and approve all affiliate applications. We may reject applications if we deem that your platform, methods, or promotional practices are unsuitable for our brand. The review process may take some time, and we appreciate your patience.

Eligibility Criteria:
- You must be at least 18 years of age.
- You must have an active website, blog, or social media platform with relevant content.
- We will assess the quality of your traffic and engagement.
- You may not participate if you promote illegal, harmful, or offensive content.

3. How to Promote Open Time Clock

Your promotional methods directly impact the commission you earn! We encourage ethical and responsible promotion that aligns with Open Time Clock’s values. Here's how you can promote:

- Content Creation: Write honest and informative reviews or tutorials about how Open Time Clock benefits businesses.
- Paid Advertising: You may use paid ads (Google Ads, social media ads) as long as they are not misleading and adhere to the relevant ad platforms' guidelines.
- Social Media Promotion: Share engaging content about Open Time Clock on your social media accounts, using your affiliate link.

Restrictions:
- You may not bid on any of our trademarked terms in search engines.
- You may not send unsolicited emails ("spam") promoting our services.
- Misleading claims or false information about our software are strictly prohibited.
- We do not allow email campaigns for now. We will notify you when we are ready.

Failure to comply with these guidelines may result in termination of this Agreement without notice.

4. Commission Structure

You will earn 50% commission on every sale made through your referral link. Commission rates may be subject to change, but we will notify you in advance if any changes are made.

- Qualifying Sales: You will earn a commission for each referred customer who subscribes to our paid plans within 90 days of clicking your referral link.

- Payout Terms: Commissions are paid monthly via PayPal or another approved payment method, after a 30-day holding period to account for potential chargebacks or refunds.

5. Payment Terms

Commissions will be paid out to you monthly, on or before the 15th of every month. You will need to provide your payment details through our Affiliate Dashboard.

- Threshold for Payment: The minimum balance required for a payout is $100.
- Chargebacks: If a customer you refer cancels within the first 30 days or requests a refund, your commission will be adjusted accordingly.
- Currency and Fees: Payments will be made in USD, and you are responsible for any transaction fees.

6. Promotional Resources

As an Affiliate Partner, you will have access to promotional materials, including:
- Banners, logos, and graphics to place on your website or blog.
- Affiliate dashboard where you can track clicks, sales, and commissions.

We encourage you to reach out to us if you require custom materials or additional support to optimize your promotions.

7. Term and Termination

This Agreement begins when you are approved for the Affiliate Program and continues until terminated by either party.

- Termination by You: You may terminate this Agreement at any time by providing written notice.
- Termination by Us: We reserve the right to terminate this Agreement and your participation in the Affiliate Program at any time if we believe you have violated any terms.

Upon termination, you will no longer have access to your affiliate account and will not be eligible for further commissions on future sales.

8. Intellectual Property

We grant you a non-exclusive, revocable license to use our trademarks and branding materials solely for the purpose of promoting Open Time Clock as part of this Affiliate Program. Any unauthorized use of our intellectual property will result in immediate termination of this Agreement.

9. Confidentiality

As an Affiliate Partner, you may have access to confidential information, including product updates, business strategies, and customer data. You agree to keep this information confidential and not disclose it to any third party.

10. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages arising from this Agreement or your participation in the Affiliate Program.

11. Changes to This Agreement

We reserve the right to update or modify this Agreement at any time. You will be notified of any changes, and continued participation in the Affiliate Program after such changes signifies your acceptance.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles.

By applying for and participating in the Open Time Clock Affiliate Program, you acknowledge that you have read, understood, and agreed to all of the terms and conditions outlined in this Agreement.

13. Dormant Affiliate Accounts

We encourage all of our affiliates to promote Open Time Clock to keep earning referral commissions actively. An affiliate account is considered dormant if no visits have been generated after a 12-month period. A dormant affiliate account will be temporarily deactivated if no visits have been generated after 12 months.
